Your business is the likely to be the biggest investment in your portfolio, not only in terms of money but also in terms of time and sweat equity.  It only makes sense to carefully consider the competence, reputation and experience of the business broker you engage to represent it. 

We encourage you to look at the history of each broker’s past deals, their specific role in the transaction, testimonials from past clients, and endorsements from other industry professionals. You should also ask whether or not the individual has  sold a business like yours in the past.  When a broker has worked in similar industries, they understand the nuances involved in licensing and other aspects of the “deal” that may impede its progress.  They may also have potential buyers.

What Fees Can You Expect?

Business Brokers & Consultants does not charge any up-front fees.  We will confidentially meet with you to discuss the current market conditions, your business, your goals and review your Company financials.   Based on that meeting, we can provide you with a Value Opinion.  Again, this is provided without any cost or obligation.  

If you decide to engage us as your Broker, we will enter into a formal Listing Agreement.  That Agreement outlines our duties and the terms upon which we are paid. It does not call for any upfront or monthly retainer fees, because we believe that your success is our success!  Therefore, we are only paid when the business sells. Our commission or success fee is based on the transaction’s final sale price. 

How We Prepare your Business for Sale

A considerable amount of work goes into preparing your business for market.  We have a team of marketing specialist and analysts who will develop a confidential marketing prospectus and other advertising materials before the opportunity is introduced to buyers.

That team is working to do more than just sell “the idea” of buying your business.  They are working to gather all the information that will ultimately be required to close the transaction.  Providing us with adequate financial information, and helping us understand the nuances of your business is crucial.  Often, our Team can help you answer questions and address issues at this point in the sales process, so they don’t stand in the way of a closing down the road. 

We ensure that our clients have their financial statements in order.  We then prepare a Confidential Marketing Prospectus to answers the most common and the most critical questions serious buyers and lenders will ask.  The prospectus provides information on: how balance sheets and income statements are connected to cash flow; how much working capital is necessary for a smooth transition; the levels of inventory, property, plant, and equipment that are included in the sale; your customer base and concentration; and industry norms.

This is just some of the information we gather and keep updated on a regular basis.  And it’s just one way we ensure that you remain free to run your business, without a lot of unnecessary interruptions, during the sale process.

How We Advertise your Business

We employ tailored marketing methods to maximizes the odds of an expeditious and mutually advantageous sale.  In many cases, this involves contacting select, potential buyers ahead of time to gauge their interest.  Blind ads may be used on industry websites, social media and business-for-sale websites. We also manage the process efficiently by qualifying buyers based on expertise, available capital, and their level of commitment.  Success in any business sale is measured by more than purchase price alone.  Years of experience have proven that pairing the right buyer with the right business naturally results in the highest, equitable sale price and the greatest odds of future success for the business.  Bringing the right buyer and seller together also allows us to close  transactions in a relatively short period of time.

How Is the Sale Finalized?

Once your business is under contract, think of us as the quarterbacks, constantly coordinating between the team of attorneys, accountants, buyer, seller, lenders and others to keep the deal moving forward.

Our Brokers negotiate terms, training, non-compete and employment agreements, asset allocation, due diligence, and a myriad of other important issues.  Meanwhile, we work with a number of specialized lenders in order to help buyers navigate the loan process, as needed. We also coordinate all the real estate matters including real estate purchase agreements, lease negotiations, surveys, and environmental studies.  Our team is familiar with licensing for in a number of industries and assists with the process.

Managing the process from LOI or Purchase Agreement to Close is critical.  Statistically speaking, this is the time when many deals fall apart, but not so for us! We have extraordinary closing rates.  It is very rare for one of our deals to fall apart between Purchase Agreement and Closing.  We attribute this directly to the early efforts of our Team who; identify quality businesses, and help those owners prepare for a successful exit, then fully disclose the financial condition and key aspects of the offering to potential buyers.  The diligence of our Brokers and their coordination efforts then ensure smooth and timely closings at this critical stage!
